Terms of Service
Effective Date: September 25, 2026
These Terms of Service (“Terms”) govern website design, development, management, hosting-related administration, maintenance, and related services provided by Madison Web Co. (“Madison Web Co.,” “we,” “us,” or “our”) to the business or organization purchasing the Services (“Client,” “you,” or “your”). By purchasing, subscribing to, or otherwise agreeing to receive Services from Madison Web Co., you acknowledge that you have read, understood, and agreed to these Terms. These Terms are intended for business-to-business services. By entering into an agreement with Madison Web Co., you represent that you are obtaining the Services primarily for business or commercial purposes and that you have authority to enter into the agreement on behalf of the applicable business or organization.
1. Services — Madison Web Co. provides website design and development, publishing and management, routine edits, hosting and platform administration, domain configuration, analytics, maintenance, support, and other agreed website-related services. The exact scope depends on the Client’s selected service, proposal, order, or written agreement; certain features may be unavailable or outside standard scope.
2. Pricing and Payment — Unless otherwise agreed in writing, the standard service is $300 per month. The first payment is due when the Client subscribes; later payments are charged approximately monthly using the authorized payment method. Amounts paid are non-refundable except where required by law or expressly stated.
3. Initial Six-Month Service Term — The initial Service Term is six months. At the standard price, the minimum payment obligation for a fully completed initial term is $1,800, billed monthly.
4. 30-Day Early Cancellation Period — During the first 30 days, the Client may cancel without the $300 early-termination fee; payments already made are non-refundable, the website is not transferred, and this is not a money-back guarantee or free trial. 5. Early Cancellation After the First 30 Days — Early cancellation during an active six-month term requires a $300 early-termination fee.
6. Automatic Renewal — IMPORTANT: THE SERVICE AUTOMATICALLY RENEWS FOR ADDITIONAL SIX-MONTH TERMS UNLESS THE CLIENT CANCELS BEFORE THE NEXT RENEWAL DATE. 7. How to Cancel — Cancellation requests may be sent to info@madisonwebco.com and should identify the Client and applicable account or business.
8. Website Ownership and Transfer Rights — During the initial six-month Service Term, the website project and underlying platform project remain under Madison Web Co.’s ownership or control except Client Content. Transfer may be requested only after the original six-month term is complete and all amounts are paid in full; after transfer, the Client is responsible for required hosting, software, subscriptions, and third-party services.
9. Madison Web Co. Proprietary Materials — Website transfer does not transfer internal workflows, business processes, development methods, templates not created exclusively for the Client, tools, automation systems, prompts, documentation, know-how, or other proprietary materials.
10. Client Content — The Client retains ownership of supplied business names, trademarks, logos, media, and other Client-owned intellectual property, and grants Madison Web Co. permission to use it as reasonably necessary to provide Services.
11. Domains — Client domains should be registered in the Client’s name where practical; Madison Web Co. may assist with registration, DNS, connection, renewals, and technical management. 12. Business Email and Third-Party Email Services — Business email hosting is not included unless expressly agreed otherwise.
13. Website Edits and Reasonable-Use Policy — Routine edits are generally included but subject to reasonable-use limitations based on request volume, complexity, workload, requirements, and availability of information or Client Content.
14. Turnaround Times — Madison Web Co. generally aims to complete ordinary edit requests within approximately 48 hours; this is a target, not a guarantee.
15. Major Changes and Additional Work — Major redesigns, additional pages, restructuring, custom development, advanced integrations, complex functionality, and similarly substantial work may be outside routine editing and may require an additional fee disclosed before work begins.
16. Unsupported Features — Advanced features such as customer portals, complex applications, highly customized databases, and backend systems may not be available.
17. Client Responsibilities — The Client must provide accurate information, needed materials and approvals, sufficient rights to Client Content, timely feedback, secure credentials, needed third-party subscriptions, and lawful requests.
18. Failed or Past-Due Payments — Madison Web Co. may suspend Services after 30 days unpaid and terminate after 60 days unpaid, while retaining the right to collect outstanding amounts.
19. Third-Party Platforms and Services — Madison Web Co. may rely on third-party platforms for hosting, domains, analytics, payments, communications, integrations, and other functionality, and cannot guarantee their availability, pricing, policies, security, compatibility, or continued operation.
20. No Guarantee of Business Results — Madison Web Co. does not guarantee search rankings, traffic, leads, customers, conversion rates, sales, revenue, profit, advertising performance, growth, or any other commercial result.
21. Service Availability — Reliable service is an objective, but uninterrupted or error-free website availability is not guaranteed.
22. Disclaimer of Warranties — TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement except where law does not permit exclusion.
23. Limitation of Liability — TO THE MAXIMUM EXTENT PERMITTED BY LAW, Madison Web Co. is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages; aggregate liability shall not exceed the amount paid by the Client during the six months preceding the event giving rise to the claim.
24. Client Indemnification — To the extent permitted by law, the Client agrees to defend, indemnify, and hold harmless Madison Web Co. from qualifying third-party claims related to Client Content, unlawful use, Client products or services, or material violations of these Terms.
25. Suspension or Termination by Madison Web Co. — Services may be suspended or terminated for material nonpayment, fraud, unlawful use, material violations, abuse, security risks, or conduct creating substantial legal or technical risk.
26. Privacy — Collection and use of personal information is addressed in the Privacy Policy, which is incorporated by reference where applicable. 27. Electronic Communications and Acceptance — Madison Web Co. may provide agreements, notices, invoices, confirmations, and business communications electronically; acceptance may occur through electronic signature, checkbox, subscription, payment, or another affirmative electronic method.
28. Governing Law and Venue — These Terms are governed by Illinois law, and qualifying judicial proceedings shall be brought in Illinois.
29. Changes to These Terms — Terms may be updated for future transactions or service terms; material changes will not retroactively alter an active fixed term except as permitted by law or agreed by the Client.
30. Entire Agreement; Severability; Waiver — These Terms and applicable written agreements form the agreement between the parties; invalid provisions do not affect remaining provisions, and a failure to enforce a provision is not a waiver.

Before subscribing, the Client should understand: Price: $300 per month unless otherwise agreed in writing. Initial Term: Six months. Initial Payment: The first $300 payment is charged when the Client subscribes. First 30 Days: The Client may cancel during the first 30 days without the $300 early-termination fee; payments made are non-refundable and the website will not be transferred. Early Cancellation: After the first 30 days, cancellation before the end of an active six-month term carries a $300 early-termination fee. Website Transfer: Eligibility is earned only after the original six-month Service Term is completed and paid in full. Automatic Renewal: The Service automatically renews for additional six-month terms unless canceled before the renewal date. Renewal-Term Cancellation: Cancellation after a new six-month renewal term begins carries the $300 early-termination fee. By subscribing to the Services, the Client affirmatively acknowledges and agrees to these Terms.
